Section 2 - General Trading Risks
2.1 Risk of Loss
Trading financial instruments involves substantial risk of loss.
You may lose some or all of your invested capital. Key risks include:
- Total Capital Loss - You may lose your entire trading account balance. There is no guarantee you will recover your initial investment.
- Losses Exceeding Deposits - When using leverage or margin, losses can exceed your initial deposit, resulting in negative account balances and debt obligations to your broker.
- Rapid and Substantial Losses - Market volatility can result in rapid, substantial losses in a short period of time.
- No Guaranteed Profits - There is no guarantee of profit. Many traders lose money, and past performance is not indicative of future results.
2.2 Leverage and Margin Risk
Leverage amplifies both gains and losses.
- Margin Calls - If your account equity falls below required margin levels, your broker may issue a margin call requiring additional funds. Failure to meet margin calls may result in forced liquidation of positions.
- Forced Liquidation - Brokers may automatically close your positions without notice if margin requirements are not met, potentially resulting in substantial losses.
- Negative Balance - In extreme market conditions (e.g., sudden price gaps, low liquidity), you may experience a negative account balance, owing money to your broker beyond your initial deposit.
- High Leverage Danger - High leverage (e.g., 100:1, 500:1) dramatically increases risk. Even small adverse price movements can result in total loss of capital.
2.3 Market Risk
Financial markets are inherently unpredictable and volatile.
- Price Volatility - Prices can change rapidly and unpredictably due to economic events, news, geopolitical developments, or market sentiment.
- Gaps and Slippage - Prices may "gap" (jump) over price levels, especially during market open, market close, news releases, or periods of low liquidity. This can result in execution at significantly worse prices than expected (slippage).
- Liquidity Risk - During periods of low liquidity, you may be unable to enter or exit positions at desired prices, or at all.
- Black Swan Events - Rare, unpredictable events (e.g., flash crashes, currency de-pegging, sudden regulatory changes) can cause extreme market disruptions and catastrophic losses.
2.4 Broker and Counterparty Risk
Your broker is the counterparty to your trades.
- Broker Insolvency - If your broker becomes insolvent or goes bankrupt, you may lose some or all of your funds, even if you have profitable positions.
- Broker Default - Brokers may fail to honor trades, refuse withdrawals, or freeze accounts in certain circumstances.
- Regulatory Actions - Regulators may suspend, restrict, or shut down broker operations, potentially affecting your ability to access funds or close positions.
- Jurisdictional Issues - Brokers in offshore or lightly-regulated jurisdictions may offer less protection and recourse than brokers in well-regulated jurisdictions.

Trading regulations vary by jurisdiction and can change without notice.

- Stress and Anxiety - Watching real-time profits and losses can cause stress, anxiety, and emotional decision-making.
- Overtrading - Emotional responses to losses may lead to impulsive, revenge trading, or overtrading, increasing losses.
- Addiction - Some individuals may develop compulsive trading behaviors similar to gambling addiction.
- Personal Relationships - Trading losses and stress can negatively impact personal relationships, health, and quality of life.

3.1 Automated Trading Risks
Algorithmic and automated trading systems carry unique risks beyond manual trading.
- System Failures - Software bugs, crashes, or malfunctions can cause unintended trades, failure to execute trades, or incorrect order execution.
- Loss of Control - Automated systems may execute trades faster than you can intervene, potentially resulting in rapid, substantial losses.
- Over-Optimization (Curve Fitting) - Strategies optimized on historical data may perform poorly in live markets due to overfitting to past conditions that do not repeat.
- Strategy Decay - Market conditions change over time. Strategies that were profitable in the past may become unprofitable as markets evolve.
3.2 Technical and Infrastructure Risks
Algorithmic trading depends on technology that can fail.
- Internet Connectivity - Loss of internet connection can prevent monitoring or stopping automated trading, potentially resulting in uncontrolled losses.
- Computer Failures - Hardware failures (e.g., computer crashes, power outages) can interrupt trading operations.
- Platform Issues - Trading platforms (e.g., MetaTrader, cTrader) may crash, freeze, or experience bugs, affecting your ability to trade.
- Broker API Issues - Broker APIs may become unavailable, slow, or return errors, preventing the Product from executing trades or retrieving data.
- Latency and Delays - Network latency or processing delays can result in missed opportunities or execution at worse prices.
3.3 Data and Feed Risks
Algorithmic trading relies on accurate, timely data.
- Data Feed Errors - Incorrect, delayed, or missing price data can cause the Product to make incorrect trading decisions.
- Historical Data Quality - Backtesting results depend on the quality of historical data. Poor quality data yields unreliable backtest results.
- Tick Data vs. Bar Data - Backtesting on bar data (e.g., 1-minute bars) may not accurately reflect tick-by-tick price movements, leading to inflated backtest performance.
3.4 Execution Risks
Automated systems cannot guarantee execution quality.
- Slippage - Actual execution prices may differ from expected prices due to market volatility, liquidity, or delays.
- Requotes - Brokers may requote prices during volatile periods, preventing execution at desired prices.
- Rejected Orders - Brokers may reject orders due to insufficient margin, invalid parameters, or other reasons.
- Partial Fills - Orders may be partially filled, resulting in smaller position sizes than intended.
3.5 Configuration and User Error
Incorrect configuration is a major risk in algorithmic trading.
- Parameter Errors - Incorrect input parameters (e.g., lot size, stop loss, take profit) can result in unintended position sizes or risk exposure.
- Wrong Account Type - Using live account credentials instead of demo account credentials (or vice versa) can lead to unintended real trades or no trades.
- Multiple Instances - Running multiple instances of the Product simultaneously can cause duplicate trades or conflicting orders.
- Failure to Monitor - Failing to monitor automated trading can result in undetected errors, excessive losses, or missed opportunities to intervene.
Section 4 - Product-Specific Disclaimers
4.1 No Guarantee of Performance
We make no guarantees regarding the Product's performance, profitability, or results.
- No Profit Guarantee - The Product may not generate any profits. Many users may experience losses.
- Past Performance - Past performance (including backtests, simulations, or historical results) is not indicative of future results. Historical profitability does not guarantee future profitability.
- Varying Results - Different users will experience different results based on broker choice and execution quality, account size and leverage, risk management settings, market conditions during usage period, configuration and parameter choices, and timing of entry into the market.
- Market Conditions - The Product may perform well in certain market conditions and poorly in others. Market conditions constantly change.
4.2 No Warranty - AS IS Product
The Product is provided "as is" without any warranties.
- No Warranty of Merchantability - We do not warrant that the Product is suitable for any particular purpose or will meet your expectations.
- No Warranty of Fitness - We do not warrant that the Product is fit for trading, will generate profits, or will perform as expected.
- No Warranty of Accuracy - We do not warrant the accuracy, reliability, or completeness of any data, calculations, signals, or outputs provided by the Product.
- No Warranty of Uninterrupted Operation - We do not warrant that the Product will operate without interruption, errors, or defects.
4.3 Testing and Validation
You are solely responsible for testing and validating the Product.
- Demo Account Testing - You should thoroughly test the Product on a demo account with virtual funds before using real money.
- Small Position Sizes - If you choose to use real money, start with very small position sizes to minimize risk while validating performance.
- No Reliance on Vendor Testing - You should not rely solely on backtests, simulations, or performance claims provided by us or third parties. Conduct your own independent testing.
- Continuous Monitoring - Even after testing, you must continuously monitor the Product's performance. Past testing does not guarantee future performance.
4.4 Broker Compatibility and Dependencies
The Product depends on external systems beyond our control.
- Broker Compatibility - The Product may not be compatible with all brokers. Compatibility can change without notice if brokers modify their systems, APIs, or policies.
- Platform Compatibility - The Product is designed for specific trading platforms (e.g., MetaTrader 4, MetaTrader 5, cTrader). It may not work on other platforms or may require platform-specific versions.
- Broker Policy Changes - Brokers may prohibit or restrict the use of automated trading software at any time. Some brokers may terminate accounts that use automated trading.
- No Broker Endorsement - We do not endorse, recommend, or guarantee the quality, reliability, or regulatory status of any broker.
4.5 Updates and Changes
The Product may be updated, modified, or discontinued.
- Updates May Affect Performance - Software updates may change the Product's behavior, potentially affecting performance positively or negatively.
- No Obligation to Update - We are not obligated to provide updates, bug fixes, or improvements. Updates may be provided at our sole discretion.
- Backward Compatibility - Updates may not be backward compatible. Settings or configurations from previous versions may not work with updated versions.
- Discontinuation - We may discontinue the Product or certain features at any time without notice or liability.
Section 5 - User Responsibilities
5.1 Independent Decision-Making
You are solely responsible for all trading decisions.
- No Delegation of Responsibility - Using the Product does not transfer responsibility for trading decisions to Profalgo. You remain fully responsible for all trades executed by or with the Product.
- Active Monitoring Required - You must actively monitor automated trading. "Set and forget" is not a safe approach.
- Risk Management - You are responsible for implementing appropriate risk management, including position sizing, stop losses, maximum drawdown limits, account balance monitoring, and diversification.
- Kill Switch - You should have a plan and mechanism to immediately stop automated trading in case of malfunction or unexpected behavior.
5.2 Suitability Assessment
You must assess whether trading and the Product are suitable for you.
- Financial Situation - Only trade with capital you can afford to lose completely without affecting your financial security, standard of living, or ability to meet financial obligations.
- Risk Tolerance - Assess your psychological ability to withstand losses, volatility, and stress.
- Knowledge and Experience - You should have sufficient knowledge of financial markets and trading, the specific instruments you trade, algorithmic trading concepts and risks, and the Product's functionality and limitations.
- Legal and Regulatory Compliance - You are responsible for ensuring that trading and using the Product is legal in your jurisdiction and complies with all applicable laws and regulations.
5.3 Due Diligence
You must conduct your own research and due diligence.
- Product Research - Research and understand the Product's strategy, logic, and limitations before use.
- Broker Research - Research brokers thoroughly, including regulatory status and jurisdiction, reputation and reviews, execution quality and slippage, policies on automated trading, and financial stability.
- Market Research - Understand the markets and instruments you trade, including their characteristics, risks, and typical behavior.
- Independent Verification - Verify any claims, performance figures, or testimonials through independent testing and research. Do not rely solely on marketing materials.
5.4 Account Security
You are responsible for securing your trading account.
- Credentials - Keep broker account credentials, API keys, and Product license keys secure and confidential.
- Two-Factor Authentication - Enable two-factor authentication (2FA) on broker accounts and other services where available.
- Secure Devices - Use secure computers and devices free from malware, viruses, or unauthorized access.
- Regular Monitoring - Regularly review account activity for unauthorized trades or access.
Section 6 - Limitation of Liability
6.1 No Liability for Trading Losses
To the maximum extent permitted by law, Profalgo is not liable for any trading losses, damages, or adverse consequences arising from:
- Use or inability to use the Product
- Trading decisions made by you or the Product
- Loss of capital, profits, or trading opportunities
- Drawdowns, margin calls, or forced liquidations
- Broker actions, including account termination, withdrawal restrictions, or insolvency
- Market conditions, volatility, or black swan events
- Product malfunctions, bugs, errors, or unexpected behavior
- Data feed errors, latency, or connectivity issues
- Incorrect configuration or user error
- Updates, changes, or discontinuation of the Product
- Incompatibility with brokers, platforms, or systems
- Any other cause related to trading or use of the Product
- Technical issues with the Store, including but not limited to website downtime, download link errors, account access problems, or email delivery failures
6.2 Exclusion of Consequential Damages
To the maximum extent permitted by law, Profalgo is not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, business, or opportunities
- Loss of data or information
- Emotional distress, mental anguish, or psychological harm
- Damage to reputation or relationships
- Opportunity costs or foregone gains
This exclusion applies even if we have been advised of the possibility of such damages.
6.3 Liability Cap
To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Product, Services, or this Document shall not exceed the lesser of:
- The amount paid by you to Profalgo in the 12 months preceding the event giving rise to liability, or
- EUR 100 (one hundred euros)
This cap applies regardless of legal theory (contract, tort, negligence, strict liability, or otherwise).
6.4 Essential Basis of Bargain
The disclaimers, limitations, and exclusions in this Document are an essential basis of the bargain between you and Profalgo. The Product is offered at its current price precisely because of these limitations. Without these limitations, the Product would not be offered or would be offered at a significantly higher price.
6.5 Statutory Rights Preserved
Nothing in this Section 6 excludes or limits liability that cannot legally be excluded or limited under applicable law, including:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under Maltese or EU law
For EU consumers, your statutory rights under applicable consumer protection laws are not affected by this limitation to the extent such rights are mandatory and cannot be waived.
Section 7 - No Liability for Third Parties
7.1 Third-Party Dependencies
The Product relies on third-party systems and services beyond our control, including:
- Brokers and Trading Platforms - Forex brokers, stock brokers, and trading platforms (e.g., MetaTrader, cTrader)
- Data Providers - Market data feeds, price data providers, historical data providers
- Internet and Network Providers - Internet service providers, VPN providers, hosting providers
- Hardware and Operating Systems - Computers, servers, operating systems (Windows, macOS, Linux)
- Technical Infrastructure - Hosting providers, content delivery networks, domain name servers, email delivery systems, and other technical service providers
7.2 No Control Over Third Parties
Profalgo does not:
- Own, operate, control, or manage any broker, trading platform, or data provider
- Guarantee the availability, reliability, accuracy, or security of third-party systems
- Endorse, recommend, or certify any broker, platform, or service provider
- Have access to or control over your trading account, funds, or positions
- Control the technical infrastructure, hosting, or delivery systems used to operate the Store or deliver the Product
7.3 No Liability for Third-Party Actions
To the maximum extent permitted by law, Profalgo is not liable for:
- Actions, omissions, errors, failures, or negligence by brokers, platforms, or other third parties
- Broker insolvency, account termination, withdrawal restrictions, or policy changes
- Platform crashes, downtime, bugs, or API changes
- Data feed errors, delays, or interruptions
- Internet outages, network failures, or connectivity issues
- Technical infrastructure failures, including hosting outages, email delivery failures, or server malfunctions
- Actions by technical service providers, hosting providers, software developers, or IT consultants engaged by Profalgo to operate the Store or deliver the Product
- Any losses, damages, or adverse consequences caused directly or indirectly by third parties
7.4 No Third-Party Relationships
You have no contractual or legal relationship with any third-party service provider, hosting provider, technical service provider, software developer, or infrastructure provider engaged by Profalgo.
All claims, inquiries, or disputes regarding the Product, Services, or this Document must be directed exclusively to Profalgo.
You agree not to bring any claim, demand, or action against any such third party in connection with the Product, Services, or any matter covered by this Document.
7.5 Provider Responsibility and Third-Party Liability Exclusion
(a) Full Provider Responsibility - Profalgo Limited assumes full responsibility for the Product and Services, including any systems, infrastructure, platforms, integrations, hosting, delivery mechanisms, or third-party technologies used in connection therewith. All inquiries, complaints, or disputes regarding the Product or Services must be directed exclusively to Profalgo Limited.
(b) Maximum Third-Party Liability Exclusion - To the maximum extent permitted by law, all third-party service providers, technical service providers, hosting providers, infrastructure providers, software developers, IT consultants, and any other third parties involved in the operation, hosting, delivery, maintenance, or technical support of the Product, Services, or Store shall have no liability whatsoever to the User under any legal theory.
(c) Not Third-Party Beneficiaries - User acknowledges and agrees that no third-party service provider is an intended third-party beneficiary of this Document or has any rights to enforce any provisions herein against User or any other party.
Section 8 - Regulatory Disclaimers
8.1 No Regulated Status
Profalgo Limited is not:
- A regulated financial institution
- A licensed broker or dealer
- A registered investment advisor or financial advisor
- Subject to financial services regulation in most jurisdictions
We provide software products, not financial services.
8.2 No Investment Advice
The Product does not provide:
- Personalized investment advice
- Suitability assessments or recommendations
- Portfolio management services
- Financial planning or wealth management
Any information, signals, or outputs from the Product are for informational purposes only and should not be construed as advice.
8.3 MiFID II / MiFIR Disclaimer (EU)
For EU residents: Profalgo does not provide investment services as defined under the Markets in Financial Instruments Directive (MiFID II) or the Markets in Financial Instruments Regulation (MiFIR). The Product is a software tool, not an investment service. We do not execute orders on behalf of clients, provide investment advice or portfolio management, receive and transmit orders, or operate a trading venue or multilateral trading facility.
If you use the Product to trade, you are trading on your own account and at your own risk.
8.4 CFTC / NFA Disclaimer (US)
For US residents: Trading forex, futures, options, and other leveraged products carries substantial risk and is not suitable for all investors. Past performance is not indicative of future results.
Hypothetical or simulated performance results have certain limitations.
Unlike actual performance records, simulated results do not represent actual trading. Since trades have not actually been executed, results may have under- or over-compensated for market factors such as lack of liquidity. Simulated trading programs are generally designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
CFTC Rule 4.41: Hypothetical or simulated performance results have certain limitations and do not represent actual trading.
8.5 ASIC Disclaimer (Australia)

Section 9 - Prohibited Uses
9.1 Restricted Jurisdictions
The Product and Services are not offered in, targeted at, or intended for residents of any jurisdiction where offering or using the Product would violate applicable laws or require licenses we do not hold.
If you access or use the Product from a restricted jurisdiction, you do so at your own risk and in violation of our Terms and Conditions.
9.2 Illegal or Prohibited Activities
You may not use the Product for:
- Illegal trading activities or market manipulation
- Money laundering or terrorist financing
- Unauthorized access to accounts or systems
- Violation of broker terms of service or platform rules
- High-frequency trading (HFT) or latency arbitrage (if prohibited by broker)
- Any activity that violates applicable laws or regulations
9.3 Broker Restrictions
Some brokers prohibit or restrict automated trading. You are responsible for:
- Verifying that your broker permits the use of automated trading software
- Complying with all broker terms, conditions, and restrictions
- Accepting all consequences (including account termination) if your broker prohibits or restricts automated trading
We are not liable if your broker terminates your account, restricts trading, or takes other actions due to your use of the Product.
Section 10 - Acknowledgment and Acceptance
By using the Product or Services, you expressly acknowledge, agree, and represent that:
10.1 Risk Understanding
- You have read and fully understood this entire Risk Warning and Disclaimer
- You understand that trading involves substantial risk of loss and you may lose all invested capital
- You understand the specific risks of algorithmic and automated trading
- You understand that the Product provides no guarantee of profitability or performance
- You understand that past performance is not indicative of future results
10.2 Financial Capacity
- You have sufficient financial resources to bear the risks of trading
- You can afford to lose your entire trading capital without affecting your financial security or standard of living
- You are not trading with borrowed funds, emergency savings, or money needed for essential expenses
- You have independently assessed your financial capacity to trade and have concluded it is appropriate for you
10.3 Knowledge and Experience
- You have sufficient knowledge and experience to understand financial markets, trading, and the Product
- You have conducted your own research and due diligence regarding the Product
- You have tested the Product thoroughly (preferably on a demo account) before using real money
- You understand the Product's functionality, strategy, limitations, and risks
10.4 Legal Compliance
- You are of legal age (18+ or the age of majority in your jurisdiction)
- You are not located in a restricted jurisdiction
- Your use of the Product complies with all applicable laws and regulations in your jurisdiction
- You have consulted with legal and financial advisors as appropriate
10.5 Assumption of Risk and Responsibility
- You assume all risks associated with trading and use of the Product
- You are solely responsible for all trading decisions and outcomes
- You accept that Profalgo has no liability for trading losses or adverse outcomes
- You have read and agree to the Limitation of Liability provisions in Section 6
10.6 Independent Decision
- Your decision to use the Product is voluntary and independent
- You have not relied on any representations, warranties, or promises not expressly stated in this Document or the Terms and Conditions
- You have made your own independent evaluation of the Product's suitability for your needs
10.7 Third-Party Providers
You acknowledge and agree that:
- All technical infrastructure, hosting, and related services used to operate the Store and deliver the Product are provided by third-party service providers engaged by Profalgo
- You have no contractual relationship with any such third-party provider
- You will not assert any claim, demand, or action against any such third-party provider arising from or related to the Product, Services, or this Document
- No third-party provider bears any liability or responsibility to you whatsoever
10.8 No Reliance on Third Parties and Full Provider Responsibility
You acknowledge and agree that:
(a) Exclusive Reliance - You rely solely and exclusively on Profalgo Limited and not on any third-party systems, platforms, infrastructure, hosting providers, technical service providers, software developers, or other service providers in deciding to purchase or use the Product, accessing or using the Product or Services, and relying on any information, representations, or warranties regarding the Product or Services.
(b) No Third-Party Reliance - You have not relied on any representations, warranties, certifications, or statements by any third-party provider, any privacy policies, security certifications, or compliance statements of any third party, any branding, reputation, or market position of any third party, or any conduct, actions, or omissions by any third party.
(c) Provider Assumes Full Responsibility - You understand and agree that Profalgo Limited assumes full responsibility for the Product and Services, including all technical infrastructure, and that this acknowledgment is a material inducement for Profalgo Limited to provide the Product and Services at the current price and terms.
(d) Essential Basis of Bargain - You acknowledge that this Section 10.8, together with Sections 7.4, 7.5, and all other third-party liability exclusions in this Document, constitute an essential basis of the bargain between you and Profalgo Limited, without which the Product and Services would not be offered or would be offered at significantly different terms.
